1. OVERVIEW
These Terms of Use (“Terms”) govern your access to and use of the digital services, content, and tools provided by SYMBYX Pty Ltd (“SYMBYX”, “we”, “us”, or “our”) through our mobile application Loop by SYMBYX (“App”) and any other digital products that refer to these Terms (together, the “Services”). “User“, “you“ and “your“ refer to the individual or entity that accesses or otherwise uses the Services, and each of your heirs, assigns, and successors.
These Terms form a legally binding agreement between you or the entity you represent and SYMBYX Pty Ltd, an Australian company. If we make material changes to these Terms, we will notify you by email and/or otherwise notify you prior to the effective date of the changes. Except as explicitly stated otherwise in these Terms, continued access or use of the Services by you after modification to the Terms constitutes your acceptance of the Terms as modified. We will also indicate at the top of this page the date that revisions were last made.
These Terms also incorporate our Privacy Policy, which explains how we collect, use, store, and share your personal information. By using the Services, you agree to the terms of the Privacy Policy. Please read these Terms carefully before using the Services. By accessing or using the Services, you confirm that:
- You have read, understood, and agree to be bound by these Terms, including any policies incorporated by reference;
 - You are at least 18 years of age and have the legal capacity to enter into these Terms;
 - You consent to receiving electronic communications from SYMBYX, and you agree that these satisfy any legal requirement for written communication. If you do not agree to these Terms, you must not access or use the Services.
 
2. SCOPE OF THE SERVICES
THE SERVICES ARE FOR WELLNESS PURPOSES ONLY - NOT MEDICAL OR HEALTHCARE ADVICE.
The App and related Services are designed to support personal wellness, routine tracking, and general lifestyle management. The Services are intended for informational purposes only and are not intended to diagnose, treat, cure, or prevent any medical condition. SYMBYX is not a healthcare provider, and the Services do not constitute medical or healthcare advice. Nothing contained within the Services should be interpreted as a substitute for professional medical advice, diagnosis, or treatment by a qualified healthcare practitioner.
You should not make decisions about your health or discontinue any prescribed treatment based on information provided through the App. Always seek the advice of your physician or other qualified health provider with any questions you may have regarding a medical condition. Your use of the App does not establish a doctor-patient relationship with SYMBYX Pty Ltd or any of its affiliates.
3. LICENSE TO USE THE SERVICES
Subject to your compliance with these Terms, SYMBYX grants you a personal, non-exclusive, non-transferable, revocable, limited license to access and use the Services for your individual, non-commercial use.
You may not:
- Modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any part of the Services;
 - Use the Services in any manner that could damage, disable, overburden, or impair our systems or interfere with any other party’s use of the Services;
 - Reverse engineer or attempt to extract the source code of the software used in the Services.
 
SYMBYX reserves all rights not expressly granted to you in these Terms.
4. ELIGIBILITY, ACCOUNT REGISTRATION, AND ACCOUNT SECURITY
To use certain features of the Services, you may be required to register an account. By registering or using the Services, you represent and warrant that:
- You are at least 18 years old;
 - You have the legal authority to enter and be bound by these Terms;
 - The information you provide to us is true, accurate, current, and complete;
 - You will maintain and promptly update this information as needed.
 
You agree not to:
- Create an account using false information or on behalf of someone else without their permission;
 - Register or use more than one account unless explicitly authorised by SYMBYX;
 - Share your login credentials or grant access to your account to others;
 - Use another person’s account without permission.
 
You are responsible for:
- All activity under your account;
 - Keeping your login credentials secure and confidential;
 - Notifying us immediately at info@symbyxbiome.com if you suspect any unauthorised use of your account or breach of security.
 
You acknowledge and accept that:
- You are solely responsible for any loss or damage resulting from unauthorised access to your account, except where such access was caused by SYMBYX’s failure to take reasonable precautions;
 - SYMBYX may, at its sole discretion, suspend, restrict, or terminate your access to the Services if we believe you have violated these Terms or applicable law;
 - You should use particular caution when accessing your account on public or shared devices to prevent others from viewing or recording your credentials or personal data.
 
5. USER CONDUCT AND PROHIBITED ACTIVITIES
You may use the Services only for lawful, personal, and non-commercial purposes, and in accordance with these Terms. You agree not to misuse the Services or assist anyone else in doing so. Specifically, you agree not to:
5.1. Unlawful or Harmful Behaviour
- Use the Services in any way that violates applicable laws, regulations, or legal rights of others;
 - Exploit, harm, or attempt to exploit or harm others, including by exposing them to inappropriate content or soliciting personal information from minors;
 - Use the Services for fraud, harassment, abuse, or other malicious or harmful behaviour.
 
5.1. Interference with the Platform
- Use the Services in a way that could disable, damage, disrupt, or impair the Services or interfere with any other user's experience;
 - Upload, transmit, or introduce any viruses, malware, spyware, or other harmful code;
 - Bypass or attempt to bypass security controls or gain unauthorised access to any part of the Services, systems, accounts, or networks.
 
5.3. Impersonation and Misrepresentation
- Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with any person or organisation;
 - Use the Services to collect or harvest data about other users without their consent.
 
5.4. Automation, Scraping, and Data Mining
- Use any robot, spider, script, or other automated method to access, monitor, copy, or collect data from the Services;
 - Engage in reverse engineering, data extraction, or unauthorised reproduction of any part of the Services or its content.
 
5.5. Intellectual Property Violations
- Use, reproduce, distribute, modify, create derivative works from, or publicly display any content from the Services without prior written permission from SYMBYX or the rightful owner. This section does not restrict a user from displaying or sharing their personal app data or reports with their healthcare provider for the purposes of seeking health or wellness advice;
 - Remove or tamper with copyright, trademark, or proprietary notices.
 
We reserve the right to monitor usage, investigate violations, and suspend or terminate accounts engaged in prohibited activities, with or without prior notice.
6. RELIANCE ON INFORMATION
The content provided through the Services is made available for general informational and wellness-support purposes only. While we strive to present accurate and up-to-date content, we do not make any guarantees regarding the completeness, accuracy, or usefulness of this information. You are solely responsible for how you use the content available through the Services, and any reliance you place on it is strictly at your own risk. SYMBYX disclaims all liability arising from any use or reliance placed on such materials by you or any third party.
7. CHANGES TO THE SERVICES
We may update, modify, or discontinue any aspect of the Services at any time, including features, content, or availability, without prior notice. While we may update public-facing content from time to time, such content may not always be current or complete.
We are under no obligation to update specific information, and we accept no responsibility for outdated or incomplete materials.
8. USER-PROVIDED CONTENT AND THIRD-PARTY ACCESS
You may choose to enter information into the App, such as symptoms, routines, activities, or personal wellness notes. The App may also offer the option to sync data from your device’s Apple Health account — for example, steps, mobility metrics, or other wellness-related indicators.
Use of Apple Health data is entirely optional and requires your explicit permission. You can manage these permissions through your device settings at any time. We encourage you to review what data you sync to ensure it aligns with your intended use of the App.
All information you provide or sync is processed in accordance with our Privacy Policy. You remain in control of what you choose to share.
The App is designed for individual wellness tracking and it is not intended for use in medical decision-making or clinical diagnosis.
9. CONTENT OWNERSHIP AND INTELLECTUAL PROPERTY
All content, materials, and features made available through the Services — including text, images, video, audio, design elements, software, and code — are owned by SYMBYX or our licensors and are protected by copyright, trademark, and other intellectual property laws.
You may not:
- Reproduce, modify, adapt, or create derivative works based on the Services or any part of it;
 - Display or distribute Services Content without written permission from SYMBYX;
 - Remove or alter any copyright, trademark, or proprietary notices;
 - Use any part of the Services for commercial purposes without express authorisation.
 
Except as explicitly granted in these Terms, you receive no license or rights to any intellectual property owned by SYMBYX or third parties.
10. TRADEMARKS
SYMBYX, the SYMBYX logo, and other product or service names displayed within the Services are trademarks or registered trademarks of SYMBYX Pty Ltd or its affiliates. You may not use these marks without prior written permission.
Other names, logos, and branding materials appearing within the Services may belong to third parties and are used only for identification purposes. Their inclusion does not imply endorsement or association.
11. DISCLAIMER OF WARRANTIES
You understand and agree that the Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, SYMBYX disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to any warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.
SYMBYX makes no warranty or representation:
- That the Services will meet your requirements or expectations;
 - That the Services will be available uninterrupted, timely, secure, or error-free;
 - That the results obtained from the Services will be accurate or reliable;
 - That any errors or defects will be corrected;
 - That the Services or the servers that make them available are free of viruses or other harmful components.
 
You are solely responsible for implementing safeguards to protect your devices, systems, and data. SYMBYX shall not be responsible for any loss or damage caused by a distributed denial-of-service attack, malware, or other harmful materials due to your use of the Services.
Nothing in the Services constitutes professional medical advice or diagnostic guidance. You should consult with your healthcare provider regarding any health-related decisions.
12. LIMITATION OF LIABILITY
To the fullest extent permitted by law, SYMBYX, its affiliates, directors, employees, agents, contractors, licensors, and service providers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, loss of data, personal injury, emotional distress, or other damages arising from or related to your use of, or inability to use, the Services.
In no event shall SYMBYX’s total liability to you for all claims exceed the greater of (i) AUD $100 or (ii) the amount you paid to SYMBYX for the Services (if any) in the twelve (12) months preceding the event giving rise to the claim. Some jurisdictions do not allow the exclusion or limitation of certain damages or implied warranties, so some of the above exclusions and limitations may not apply to you.
13. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless SYMBYX, its affiliates, officers, directors, employees, contractors, agents, licensors, and service providers from and against any claims, demands, losses, liabilities, damages, judgments, awards, costs, or expenses (including reasonable legal fees) arising out of or relating to:
- Your use or misuse of the Services;
 - Your violation of these Terms;
 - Your breach of any representation or warranty made to SYMBYX;
 - Any content or data you submit or transmit through the Services;
 - Your violation of any applicable laws or the rights of a third party.
 
14. GOVERNING LAW AND JURISDICTION
These Terms are governed by and construed in accordance with the laws of New South Wales, Australia, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts of New South Wales for the resolution of any disputes arising from or related to these Terms or your use of the Services.
If you are a resident of the European Economic Area or the United Kingdom, nothing in these Terms limits your rights under the General Data Protection Regulation (GDPR) or your ability to bring a complaint before your local supervisory authority.
15. NO GUARANTEE OF SERVICE
SYMBYX reserves the right to modify, suspend, or discontinue any part of the Services at any time without notice or liability. While we aim to provide a reliable and accessible experience, we do not guarantee that the Services will always be available or compatible with your device or system configuration. You acknowledge that SYMBYX shall not be liable for any interruption, restriction, or delay in the availability of the Services, including outages due to maintenance, updates, technical issues, or events beyond our control.
16. DISPUTE RESOLUTION AND ARBITRATION
We encourage you to contact us first at info@symbyxbiome.com to attempt to resolve any concerns or disputes informally. If a dispute cannot be resolved through good faith discussions, you and SYMBYX agree to resolve it through final and binding arbitration, except for the exclusions described below. The arbitration will be conducted in Sydney, Australia, under the rules of the Australian Centre for International Commercial Arbitration (ACICA), or another equivalent and mutually agreed body. The language of the arbitration will be English.
Each party will bear its own costs associated with the arbitration, except as otherwise provided by the arbitrator in accordance with the rules.
The arbitrator will have exclusive authority to resolve all disputes related to the interpretation, enforceability, or formation of these Terms, including whether any part of these Terms is void or voidable. Any award rendered by the arbitrator may be enforced in any court of competent jurisdiction.
16.1. Exceptions to Arbitration
You or SYMBYX may bring an individual claim:
- In small claims court, but only for matters that qualify under that court’s jurisdiction (e.g., minor damages);
 - To protect intellectual property rights in a court of competent jurisdiction;
 - To seek emergency or injunctive relief in a court of competent jurisdiction.
 
16.2. Class Action Waiver
To the fullest extent permitted by law, all disputes will be resolved only on an individual basis. You agree not to bring or participate in any class, collective, or representative action against SYMBYX.
If any portion of this arbitration clause is found unenforceable, that portion shall be severed, and the remainder shall remain in full force and effect.
17. TERMINATION
You may terminate these Terms at any time by closing your account and discontinuing use of the Services. SYMBYX may suspend or terminate your access to the Services, in whole or in part, at any time for any reason or no reason, without notice or liability. This may include the removal of your account and any associated data or access rights.
Upon termination, your right to use the Services will cease, but all provisions of these Terms which by their nature should survive termination (including but not limited to ownership, disclaimers, indemnity, and limitations of liability) will remain in effect. Following termination of your account, your data will be retained and/or deleted in accordance with our Privacy Policy and applicable law.
18. WAIVER AND SEVERABILITY
No waiver by SYMBYX of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of SYMBYX to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent necessary, so that the remaining provisions of the Terms will continue in full force and effect.
19. ENTIRE AGREEMENT
These Terms of Use, together with our Privacy Policy, constitute the entire agreement between you and SYMBYX with respect to the Services and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the Services. You may not assign or transfer your rights or obligations under these Terms without prior written consent from SYMBYX. We may freely assign or transfer our rights and obligations without restriction. These Terms do not create any third-party beneficiary rights.
